1. Acceptance and Applicability
By accessing or using the services of Paul Drilling DC PC ("Company", "we", "us", or "our"), including but not limited to our website, AI-driven systems, SMS platforms, voice technology, and support services, you ("Client", "you", or "your organization") accept and agree to be bound by this Terms of Service agreement ("Agreement").
This Agreement governs all interactions between you and the Company. You affirm that you are authorized to enter into this Agreement on behalf of yourself or your organization. If you do not agree, you may not access or use our services.
2. Description of Services
Company use Nitrogen SoftWave Marketing to provide non-clinical communication, scheduling, and marketing services related to SoftWave™ pain relief therapy for Paul Drilling DC PCa on a non-exclusive basis.
These services are powered by artificial intelligence tools for administrative support, such as automated messaging, appointment setting, and educational outreach.
Our AI tools are used solely for marketing, lead management, and patient engagement. We do not provide diagnosis, medical decision-making, or clinical services of any kind.
3. Client Responsibilities and Acceptable Use
Clients must not use the services to send unlawful content, disrupt operations, reverse engineer, or rebrand services.
4. Communications Consent and Compliance
By opting in, you consent to receive SMS, voicemail, and voice calls related to appointments and updates. Message/data rates may apply.
Reply STOP to opt out. Reply HELP for support. Carriers are not liable for delays. complies with TCPA and CAN-SPAM regulations.
5. No Medical Data Collection Disclaimer
Paul Drilling DC PC and Nitrogen SoftWave Marketing does not process medical records or Protected Health Information (PHI). SoftWave East Cobb represents and warrant that they will not use the platform for medical triage, diagnosis, or emergency communications, and any violation of this provision constitutes a material breach of this Agreement.
6. Confidentiality and Data Security
Both parties agree to maintain confidentiality for all exchanged business and personal data. You shall notify Paul Drilling DC PC of any actual or suspected data breach within 24 hours. Paul Drilling DC PC shall have sole discretion to determine appropriate remedial actions, including service suspension.
Data must be processed in accordance with applicable privacy and data security laws.
7. Ownership and Intellectual Property
All client-provided materials remain client-owned.
The AI booking system, including all algorithms, models, data, and improvements thereof, remains the exclusive intellectual property of Nitrogen SoftWave Marketing. Paul Drilling DC PC receives a limited, revocable, non-transferable license to use the proprietary systems solely for their intended purpose during the term of this Agreement.
8. Payment and Billing Terms
All fees are non-refundable. Client shall pay all invoiced amounts at time of service.
9. Service Levels and Availability
Paul Drilling DC PC will use commercially reasonable efforts to maintain 95% uptime, excluding scheduled maintenance windows, third-party service interruptions, force majeure events, or Client-caused issues. This uptime target is not a guarantee and Paul Drilling DC PC shall not be liable for any damages or credits for failure to meet this target. Scheduled maintenance will be communicated with reasonable advance notice when practical.
No refunds.
10. Warranties and Disclaimers
Paul Drilling DC PC provides its services “as is” and makes no guarantees or warranties regarding the outcomes of SoftWave™ therapy or the effectiveness of our AI-powered communication tools.
We do not warrant that:
The services will meet your specific expectations or outcomes.
Any AI-driven message or interaction will be error-free, perfectly accurate, or free of misinterpretation.
Engagements generated through our system will result in successful appointments, treatments, or pain relief.
While we facilitate appointment scheduling and educational outreach related to SoftWave™ pain relief therapy, we are not a licensed medical provider, and we do not offer diagnosis, treatment, or health advice.
All SoftWave treatments are performed independently by licensed healthcare professionals, and any health-related outcomes or risks are the sole responsibility of the treating provider.
No medical results or health improvements are guaranteed, and individual experiences may vary.
11. Indemnification
You shall defend, indemnify, and hold harmless Paul Drilling DC PC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) Client's use of the Services; (b) Client's violation of applicable laws or regulations; or (c) Paul Drilling DC PC's misuse of AI outputs or failure to follow guidelines.
12. Limitation of Liability
We are not liable for any direct, indirect, incidental, special, consequential, or punitive damages. Maximum aggregate liability under this Agreement shall not exceed the total fees paid to Paul Drilling DC PC preceding the incident giving rise to the claim.
13. Termination
Either party may terminate for cause with written notice. Termination includes final billing obligations and cessation of services.
14. Subcontracting
Paul Drilling DC PC may, in its sole discretion, subcontract any portion of its services to vendors of its choosing. All subcontractors shall be bound by confidentiality obligations no less protective than those in this Agreement. Client has no right to approve or reject any subcontractor selection.
15. Governing Law and Jurisdiction
These Terms of Use shall be governed by and construed in accordance with the laws of the State of Georgia and any dispute shall be subject to binding arbitration in Marietta, Georgia. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions..
16. AI Limitations and Legal Protections
Paul Drilling DC PC is not liable for any service disruptions, delays, errors, or failures caused by third-party systems (e.g., Twilio, internet service)or services (including but not limited to Twilio, internet service providers, cloud hosting providers, API services), and Client's sole remedy for such issues shall be termination of services with appropriate notice.
20. Final Provisions
This is the complete Terms and Conditions. Amendments must be in writing. Severability applies. No waiver is implied by delay.
Binding on successors and permitted assigns. All notices must be in writing and delivered to the parties’ last known address.
Paul Drilling DC PC provides communication, scheduling, and marketing services specifically for SoftWave™ pain relief therapy. Our services include AI-driven appointment booking, outreach automation, and digital intake support.
We use AI tools exclusively for marketing, education, and non-clinical follow-up. We do not provide medical advice, diagnosis, or treatment via automated systems. SoftWave treatments are administered by third-party licensed healthcare providers in person.
Services are provided 'as is'. No guarantees are made regarding outcomes, ROI, or performance. No warranty for fitness for a particular purpose is implied.

Client acknowledges and agrees that the use of AI-powered tools in healthcare-adjacent contexts carries inherent limitations, including but not limited to data processing errors, contextual misinterpretation, and limitations in judgment.
The AI systems used by Paul Drilling DC PC are intended only for educational messaging, marketing automation, and scheduling. They are not substitutes for medical professionals or clinical services.
Company is not liable for service disruptions caused by third-party platforms (e.g., SMS carriers, scheduling APIs, marketing tech).
Client assumes full responsibility for lawful deployment of Paul Drilling DC PC's communication and automation tools.
This platform uses tracking technologies including pixels, cookies, and behavioral analytics to support digital marketing and remarketing.
By using this site or our services, you consent to the collection and commercial use of interaction data. This data may be used for advertising optimization, platform improvement, and may be sold or licensed to third-party advertising, analytics, or technology partners.

Client agrees to comply with TCPA, FTC, and applicable consumer protection laws.
